Terms of Service for Maple Sprouts Child Care Ltd.

1. Introduction and Acceptance of Terms

These Terms of Service (“Terms”) govern the use of childcare and related services provided by Maple Sprouts Child Care Ltd. (“Maple Sprouts Child Care Ltd.”, “we”, “us”, or “our”). By enrolling a child, submitting an application, making a payment, or otherwise using our services, the parent, legal guardian, or authorized representative (“you” or “Client”) acknowledges that they have read, understood, and agreed to be bound by these Terms and any policies referenced herein, as amended from time to time.

If you do not agree to these Terms, you should not enroll in or use our services. These Terms are intended to be read together with any enrollment forms, parent handbooks, schedules, fee schedules, consent forms, health and emergency forms, and other policies provided by Maple Sprouts Child Care Ltd.

2. Scope of Services

Maple Sprouts Child Care Ltd. provides licensed daycare and related early learning services for infants, toddlers, preschool-aged children, and, where applicable, after-school care. Our services may include, without limitation:

  • Infant and toddler daycare
  • Preschool learning activities
  • After-school care
  • Healthy snacks and meal supervision
  • Outdoor play and gross motor activities
  • Early literacy and numeracy development
  • Parent communication and daily progress updates

Services are delivered according to our operating hours, age-group placement, staffing availability, safety procedures, and applicable regulatory requirements. We may modify activity schedules, routines, and programming as needed to support health, safety, staffing, developmental needs, weather conditions, or other operational considerations.

We do not guarantee any specific developmental outcome, educational result, or behavioral improvement. All programming is provided in a supportive, age-appropriate manner and should be considered supplementary to the child’s home environment and family support.

3. User Obligations and Responsibilities

You agree to comply with the following obligations:

  • Provide accurate, current, and complete information during enrollment and throughout the service relationship.
  • Disclose any medical conditions, allergies, dietary restrictions, developmental needs, behavioral concerns, custody arrangements, and emergency contacts relevant to the child’s care.
  • Ensure that all required forms, including consent and authorization documents, are completed truthfully and updated promptly when information changes.
  • Deliver and pick up the child on time, and comply with all drop-off, pick-up, sign-in, and sign-out procedures established by us.
  • Ensure that only authorized persons pick up the child and that identification may be requested.
  • Provide appropriate clothing, diapers, spare clothing, comfort items, and other personal items as required by our policies.
  • Keep the child home when the child is ill, contagious, or otherwise unable to participate safely in group care, and follow our illness/exclusion policy.
  • Notify us immediately of any changes in custody, emergency contacts, address, telephone number, health status, or authorized pick-up persons.
  • Respect our staff, other families, facility property, and all safety rules and operational procedures.
  • Pay all fees on time and in full according to the applicable fee schedule and billing cycle.

You acknowledge that failure to provide complete and accurate information, or failure to follow our policies, may result in service delays, suspension, or termination of enrollment, subject to applicable law.

4. Payment Terms and Conditions

Fees for services will be communicated through our fee schedule, enrollment agreement, or invoice. Unless otherwise stated in writing by Maple Sprouts Child Care Ltd., all fees are due in advance of the relevant service period.

  • Registration/Enrollment Fees: Non-refundable unless required otherwise by applicable law or expressly stated in writing.
  • Tuition/Service Fees: Due on the dates specified in the invoice or fee schedule, regardless of the child’s attendance.
  • Late Payments: Overdue accounts may be subject to late charges, administrative fees, suspension of services, or termination of enrollment, to the extent permitted by law.
  • Returned/Declined Payments: You are responsible for any chargeback, NSF, reversal, or banking fee incurred by us due to returned or declined payments.
  • Rate Changes: We may revise fees upon reasonable notice, subject to any contractual or statutory requirements.
  • Taxes: Fees will be charged with applicable taxes, if any, in accordance with Canadian law.

Payment methods accepted, billing intervals, and any discounts or subsidies will be set out in our enrollment materials or fee schedule. If a third-party subsidy, funding arrangement, or employer benefit is involved, you remain responsible for all amounts not paid by the third party.

5. Cancellation and Refund Policy

Either party may terminate enrollment in accordance with the notice requirements in the enrollment agreement or, if none are specified, by providing reasonable written notice. We may also suspend or terminate services immediately where necessary to protect the health, safety, or well-being of children, staff, or the childcare environment, or where required by law.

  • Parent/Guardian Cancellation: You must provide written notice of withdrawal as specified in your enrollment agreement.
  • Provider Termination: We may terminate services for non-payment, repeated policy violations, unsafe conduct, misrepresentation, or other material breach of these Terms or our policies.
  • Refunds: Refunds, if any, will be governed by the applicable enrollment agreement, fee schedule, and mandatory legal requirements.
  • Unused Services: Fees are generally not refundable for days the child does not attend due to illness, vacation, personal scheduling conflicts, or voluntary withdrawal, unless required otherwise by law or expressly approved in writing by us.
  • Deposits: Any deposit, hold fee, or advance payment may be non-refundable to the fullest extent permitted by law, unless otherwise stated in writing.

Where a refund is approved, it will be issued using a reasonable method and timeline determined by Maple Sprouts Child Care Ltd., subject to applicable law and the original payment method where practicable.

6. Liability Limitations

Maple Sprouts Child Care Ltd. will provide services with reasonable care and skill consistent with the nature of a childcare provider in Canada. However, to the fullest extent permitted by law:

  • We are not liable for injuries, losses, or damages arising from information you fail to disclose, including allergies, medical conditions, or custody restrictions.
  • We are not responsible for loss or damage to personal belongings brought to the facility, except to the extent caused by our gross negligence or wilful misconduct where liability cannot be excluded under law.
  • We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of income, loss of opportunity, or emotional distress, except where such limitation is prohibited by law.
  • Our total liability for any claim arising out of or relating to the services will be limited to the amount paid by you for the specific service period giving rise to the claim, to the extent permitted by law.

Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable Canadian law, including liability arising from fraud, wilful misconduct, or any other liability that cannot legally be waived. These Terms do not affect non-waivable consumer rights.

7. Intellectual Property Rights

All materials created, provided, displayed, or distributed by Maple Sprouts Child Care Ltd. in connection with its services, including lesson plans, worksheets, activity sheets, curriculum materials, branding, logos, photographs created by us, and written communications, are owned by or licensed to us and are protected by applicable intellectual property laws.

You may use such materials solely for personal, non-commercial use related to your child’s participation in our services, unless we provide written permission otherwise. You must not copy, reproduce, distribute, modify, publish, or commercially exploit our materials without our prior written consent.

Where photos, videos, or recordings are taken by us for operational, educational, communication, or promotional purposes, their use will be governed by our privacy policy, consent forms, and applicable law.

8. Data Protection and Privacy

We collect, use, disclose, and retain personal information, including children’s information and parent/guardian information, for the purposes of providing childcare services, meeting health and safety obligations, administering enrollment, communicating with families, processing payments, and complying with legal and regulatory requirements.

Maple Sprouts Child Care Ltd. will take reasonable administrative, technical, and physical safeguards to protect personal information against unauthorized access, use, or disclosure. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

  • We may share information with staff, authorized caregivers, emergency responders, regulators, payment processors, or other third parties where necessary for service delivery or legal compliance.
  • We may contact you by email, telephone, text message, or other reasonable means for attendance, billing, health, safety, or general service communications.
  • You consent to the collection and use of personal information in accordance with our privacy practices and applicable Canadian privacy laws, including those applicable in Ontario.
  • You are responsible for informing us of any privacy-related concerns, custody limitations, or communication restrictions affecting the child.

If our privacy practices are described in a separate privacy policy, that policy forms part of these Terms to the extent referenced. In the event of conflict, mandatory legal requirements will prevail.

9. Force Majeure

Maple Sprouts Child Care Ltd. will not be liable for any delay, interruption, suspension, or failure to perform obligations due to events beyond our reasonable control, including but not limited to extreme weather, fire, flood, power outage, pandemic, epidemic, public health emergency, labor disruption, supply chain disruption, civil disturbance, government order, regulatory change, or acts of God.

In the event of force majeure, we may temporarily modify operating hours, close the facility, change service delivery methods, or suspend services as reasonably necessary for safety and continuity of operations. Fees, credits, or make-up services, if any, will be handled in accordance with our policies and applicable law.

10. Changes to Terms

We may revise these Terms from time to time to reflect changes in our services, operational practices, legal requirements, or regulatory guidance. Updated Terms will be effective on the date specified in the revised version, or upon notice to you if notice is required.

Continued use of our services after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the services and, if applicable, terminate enrollment in accordance with the cancellation policy.

11. Applicable Law and Jurisdiction

These Terms, and any dispute arising out of or in connection with them, will be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Subject to any mandatory legal rights or consumer protection requirements, the courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute, claim, or proceeding arising from these Terms or the services provided by Maple Sprouts Child Care Ltd.

13. Severability Clause

If any provision of these Terms is found to be invalid, illegal, unenforceable, or contrary to applicable law by a court of competent jurisdiction, that provision will be severed or limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

The failure of Maple Sprouts Child Care Ltd. to enforce any provision of these Terms will not constitute a waiver of that provision or any other right. These Terms, together with any applicable enrollment documents and policies, constitute the entire agreement between you and Maple Sprouts Child Care Ltd. regarding the subject matter addressed herein, to the extent permitted by law.
